BOSS Peptides Terms of Sale

Effective Date: April 1, 2026

These Terms of Sale govern the purchase and sale of products from BOSS Peptides. By placing an order, the purchaser agrees to these Terms of Sale, the BOSS Peptides Research Use Only Statement, and any product‑specific instructions or labels.

  1. Order Acceptance and Contract Formation
  • Offer and Acceptance: All orders are offers by the purchaser to buy products subject to these Terms of Sale. An order is accepted only when BOSS Peptides issues a written order confirmation or ships the products.
  • Order Changes and Cancellations: Orders may not be changed or cancelled except with BOSS Peptides’ prior written consent. BOSS Peptides may refuse or cancel any order for any reason, including regulatory concerns or suspected misuse.
  1. Product Use and RUO Designation
  • Research Use Only: All products sold by BOSS Peptides that are labeled RUO are intended solely for laboratory research and not for human or veterinary use, clinical diagnostics, or therapeutic applications.
  • Buyer Obligations: Purchaser must comply with the BOSS Peptides RUO Statement, ensure personnel training, maintain institutional approvals, and use products only in controlled research environments. Purchaser must notify BOSS Peptides in writing before any intended use outside research so reclassification and regulatory review can be considered.
  1. Pricing Payment and Taxes
  • Prices: Prices are as quoted on the invoice. BOSS Peptides reserves the right to correct pricing errors.
  • Payment Terms: Payment is due as stated on the invoice. Late payments may incur interest and collection costs.
  • Taxes: Purchaser is responsible for all applicable taxes, duties, and fees, excluding taxes based on BOSS Peptides’ net income.
  1. Shipping Risk Title and Inspection Requirement
  • Shipping and Title: Title and risk of loss pass to the purchaser upon delivery to the carrier unless otherwise agreed in writing.
  • Package Inspection Video Requirement:
    • Recording Requirement: Upon receipt, the purchaser must record a continuous, unedited video showing the courier handoff or delivery location, the exterior of the package (all sides), the shipping label or tracking number, the package seal(s), the opening of the package, and the condition of internal packaging and product(s).
    • Timing for Claims: Any visible damage, shortage, or discrepancy must be reported to BOSS Peptides and accompanied by the unedited video within 48 hours of delivery.
    • Retention: Retain original packaging and contents until BOSS Peptides authorizes disposal.
    • Consequences: Failure to record and timely submit the required video may limit or void remedies for shipping damage, shortage, or loss.
  1. Storage Handling and Safety
  • Storage Instructions: Purchaser must follow product‑specific storage conditions (e.g., 2–8°C or ambient‑stable) and avoid freeze–thaw cycles where indicated.
  • Handling Practices: Use sterile technique for reconstitution when required, prevent cross‑contamination, and dispose of waste in accordance with institutional and regulatory requirements.
  1. Returns Replacements and Refunds
  • Return Authorization: Returns require prior written authorization from BOSS Peptides. Unauthorized returns may be refused.
  • Defective or Damaged Goods: Claims for damaged or defective goods must include the unedited delivery and unboxing video and be submitted within the timeframe above. If validated, BOSS Peptides will, at its option, replace the product or refund the purchase price.
  • No Returns for RUO Misuse: Products used or altered for unauthorized clinical, diagnostic, or veterinary purposes are not eligible for return or refund.
  1. Warranty Disclaimer and Limitation of Liability
  • No Warranties: Products are provided as is for research purposes only. BOSS Peptides disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, and noninfringement, to the fullest extent permitted by law.
  • Limitation of Liability: To the maximum extent permitted by law, BOSS Peptides’ aggregate liability for any claim arising from or related to the products or these Terms of Sale is limited to the purchase price paid for the affected product. BOSS Peptides is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption.
  1. Indemnification
  • Purchaser Indemnity: Purchaser will indemnify, defend, and hold BOSS Peptides harmless from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising from purchaser’s misuse of products, failure to comply with the RUO designation, unauthorized clinical or veterinary use, or breach of these Terms of Sale.
  1. Compliance with Laws Export Controls and Regulatory Matters
  • Legal Compliance: Purchaser must comply with all applicable laws, regulations, and institutional policies, including export control and import requirements. Purchaser is responsible for obtaining any required permits or licenses.
  • Regulatory Status: Use of RUO products in clinical or diagnostic settings may trigger regulatory obligations; purchasers are responsible for determining and meeting such obligations.
  1. Confidentiality Intellectual Property and Publicity
  • Confidentiality: Proprietary information exchanged between the parties shall be treated as confidential as agreed in any separate confidentiality agreement.
  • Intellectual Property: No license to BOSS Peptides’ intellectual property is granted except as expressly set forth in writing.
  • Publicity: Purchaser shall not use BOSS Peptides’ name or trademarks for publicity without prior written consent.
  1. Governing Law Dispute Resolution and Severability
  • Governing Law: These Terms of Sale are governed by the laws of the State of Mississippi, excluding conflict of law rules.
  • Dispute Resolution: Disputes will be resolved in the courts located in Mississippi, unless the parties agree in writing to alternative dispute resolution.
  • Severability: If any provision is held invalid, the remaining provisions remain in full force and effect.
  1. Miscellaneous
  • Entire Agreement: These Terms of Sale, together with the RUO Statement and any written order confirmations, constitute the entire agreement between the parties regarding the sale of products.
  • Amendments: BOSS Peptides may amend these Terms of Sale by posting revised terms; changes will apply to orders placed after the effective date of the revised terms.
  • Notices: Notices must be sent to the contact information on the website or as otherwise provided by the parties.
